Closed-End Fund (CRE)

A closed-end real estate fund is an investment vehicle with a fixed capital commitment period (typically 2–4 years), a defined investment period, and a finite fund life (typically 7–10 years) at the end of which all investments are liquidated and capital returned to investors.

Closed-end funds are the standard structure for value-add and opportunistic real estate investing. LPs commit capital up front (drawn through capital calls as deals close), the GP invests during a defined investment period, manages and operates assets through a hold period, and disposes of all assets and winds up the fund within the fund life. The structure aligns GP incentives with the investment thesis and provides LPs with a defined investment horizon.

Closed-End Fund Lifecycle

Year 0–2: fundraising and final close. Years 0–4: investment period (capital deployed via capital calls). Years 2–7: hold period (assets operated, value-add executed). Years 5–10: harvest period (assets disposed, capital returned). Year 10 (or with extensions, Year 12): fund termination. Fund life is contractually defined; extension provisions allow 1–2 year extensions with LP advisory committee consent.

Fund Economics

Standard fees: 1.5% management fee on commitments during investment period, stepping down to 1.0% on invested capital during harvest. 20% promote above 8% pref. Acquisition fees and disposition fees vary. American or European waterfall depending on LP-side negotiation. Catch-up provisions standard.

Closed-End vs Open-End

Closed-end: fixed fund life, no redemptions during investment period, capital returned at fund termination. Suits illiquid value-add and opportunistic strategies where forced liquidations would destroy value. Open-end: continuous fundraising, periodic redemption windows, no fund termination. Suits stabilized core strategies where the underlying assets can support liquidity.

Frequently Asked Questions

What is a closed-end real estate fund?

An investment vehicle with a fixed commitment period, defined investment period, and finite fund life (typically 7–10 years), at the end of which all investments are liquidated and capital returned to investors.

Can I redeem from a closed-end fund?

No — closed-end funds do not offer redemptions. LP capital is locked up until the fund makes distributions through deal exits or terminates at fund-end. Secondary sales of LP interests are possible but typically at a discount to net asset value.

How long is a typical closed-end fund?

7–10 years base fund life, with 1–2 year extension options. The investment period (when new acquisitions are made) typically runs 2–4 years; the harvest period (when assets are disposed) typically runs Years 5–10.

What strategies use closed-end funds?

Value-add, opportunistic, development, distressed, and most strategies involving meaningful illiquidity at the asset level. Stabilized core strategies more often use open-end fund structures where investor liquidity is structurally feasible.
