1. Acceptance of Terms

These Terms of Use (the "Terms") form a binding agreement between you and Linton Global Solutions ("LGS," "we," "us," or "our"). By accessing or using www.lintonglobalsolutions.com (the "Site") or any service offered on the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

2. Who We Are

Linton Global Solutions is a Florida-licensed commercial real estate brokerage (FL Broker License #BK703722). Michael R. Linton is the broker of record. LGS is one of seven entities in the Linton Global family of companies; other Linton Global entities operate their own websites and services under their own terms.

3. Services Described on This Site

• Brokerage services — commercial real estate acquisition, disposition, leasing, and advisory across Florida.
• Capital markets services — arranging third-party commercial mortgage financing through the LenderMatch pipeline. See Are You a Direct Lender? for the intermediary framing.
• Technology platforms — the LenderMatch engine, calculators, valuation tools, LGSChat concierge, and cross-linked platforms operated by sister entities (REOMind.ai, REOMind.app, 1031DealFlow.com, HireMikeLinton.com).
• Content and market intelligence — market reports, blog, glossary, insurance guides, distressed guide, and other informational content.

4. Not Legal, Tax, Investment, or Appraisal Advice

Nothing on the Site is legal advice, tax advice, investment advice, an offer to sell or a solicitation of an offer to buy any security, or a substitute for the professional advice of a licensed attorney, tax adviser, or investment adviser. Market analyses, valuations, calculator outputs, lender-match scores, funding-probability estimates, and any other analytical outputs are provided for informational purposes only, are subject to the assumptions and limitations described elsewhere on the Site, and should not be relied upon as the basis for any transaction without appropriate professional review.

Property valuations surfaced on the Site are Broker Opinions of Value (BOVs), not USPAP-compliant appraisals. Do not use them in any context where a formal appraisal is required by law, lender policy, or fiduciary duty.

5. LGS Is Not a Lender

LGS does not extend credit, advance funds, issue loan approvals, or make credit decisions. Any loan quote, rate range, term sheet reference, or probability of funding presented on the Site is an estimate, is not a commitment to lend, and is subject to the originating lender's credit approval and underwriting. 6. Eligibility

The Site is intended for professional and business use by adults 18 years of age or older. It is not directed to children under 16, and we do not knowingly collect personal information from children under 16.

7. Account Registration (Where Applicable)

Some features of the Site or of connected platforms may require you to register for an account or to submit information (e.g., LenderMatch deal submissions). You agree to provide accurate, current, and complete information; to keep it updated; to safeguard any credentials issued to you; and to be responsible for all activity under your account. Notify us promptly at mike@lintonglobal.com if you learn of any unauthorized access to your account.

8. Acceptable Use

You agree that you will not:

• Use the Site or any service in violation of law, regulation, or third-party rights.
• Attempt to access accounts, systems, or data that are not yours; probe, scan, or test the vulnerability of the Site; or bypass authentication or access controls.
• Scrape, harvest, or bulk-download content, listings, or contact information from the Site by automated means.
• Introduce malware, code injections, denial-of-service traffic, or other harmful material.
• Impersonate another person or entity, or misrepresent your affiliation with any person or entity.
• Use the Site to send spam, unauthorized commercial communications, or content that infringes intellectual property, defames a person, or violates privacy.
• Use the Site's AI-generated or automated outputs for unlawful purposes, or represent them as being other than what they are (estimates, not appraisals or commitments).

9. Intellectual Property

The Site's design, text, graphics, logos, images, video, software, data compilations, and other content are owned by LGS or its licensors and are protected by U.S. and international intellectual-property laws. "Linton Global," "Linton Global Solutions," the Linton Global lion crest, "REOMind," "LenderMatch," and other names, logos, and product marks used on the Site are trademarks of Linton Global or its affiliates. Except for the limited license granted below, no rights are granted to you in any of the foregoing.

We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Site for your personal or internal business purposes, subject to these Terms. This license does not include the right to reproduce, distribute, publicly display, create derivative works from, or commercially exploit the Site's content, except as expressly permitted in writing.

10. User-Submitted Content

When you submit information through the Site — deal information, chat messages, form submissions, uploaded documents — you represent that you have the right to do so, that the information is accurate to the best of your knowledge, and that the submission does not infringe any third-party right or violate any confidentiality obligation you owe.

You grant LGS a non-exclusive, worldwide, royalty-free license to use your submissions for the purpose of providing the services you requested, improving our services, and complying with legal obligations. We handle personal information you submit in accordance with our Privacy Policy.

11. Third-Party Services and Links

The Site links to and integrates with third-party services (hosting, analytics, transactional email, AI infrastructure, MLS feeds, lender portals, mapping, social media). Those services are governed by their own terms and privacy policies. We are not responsible for their availability, content, or practices, and your interactions with them are between you and the third party.

12. Site Availability and Changes

We make no guarantee that the Site or any service will be available at any particular time or free of errors, interruptions, or defects. We may modify, suspend, or discontinue the Site or any feature at any time without notice.

13. Disclaimers

THE SITE AND ALL CONTENT, SERVICES, TOOLS, AND OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WITHOUT LIMITING THE FOREGOING, ALL VALUATIONS, RATE ESTIMATES, LENDER-MATCH OUTPUTS, MARKET FORECASTS, AND OTHER ANALYTICAL OUTPUTS ARE ESTIMATES ONLY.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER LGS NOR ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS SHALL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES — INCLUDING LOST PROFITS, LOST DATA, LOST GOODWILL, BUSINESS INTERRUPTION, OR PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES — ARISING OUT OF OR RELATING TO YOUR USE OF THE SITE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY EXCEED THE GREATER OF (A) FEES YOU HAVE PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES; IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MINIMUM EXTENT PERMITTED BY LAW. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED AS A MATTER OF LAW.

15. Indemnification

You agree to indemnify, defend, and hold harmless LGS and its affiliates, officers, employees, agents, and licensors from any claim, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or relating to (a) your use of the Site in violation of these Terms or applicable law; (b) content, data, or submissions you provide; or (c) your infringement of any third-party right.

16. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-laws principles. Any claim, dispute, or proceeding arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Orange County, Florida, and you consent to the personal jurisdiction and venue of those courts.

17. Termination

We may suspend or terminate your access to the Site or any service at any time, with or without cause, and with or without notice. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, and governing law — survive.

18. Modifications to These Terms

We may modify these Terms at any time. When we do, we will update the "Last updated" date at the top of the page and, where required by law or where the change is material, provide additional notice. Your continued use of the Site after a change becomes effective constitutes acceptance of the revised Terms.

19. Severability; Entire Agreement

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect and the unenforceable provision is enforced to the maximum extent permitted by law. These Terms, together with the Privacy Policy, our Lending & Rate Disclosures, and any additional terms referenced on the Site, constitute the entire agreement between you and LGS regarding your use of the Site.
