Good News Money

Good news money is a portion of a commercial loan that is held back at closing and funded later, only if the property reaches agreed performance targets such as occupancy, net operating income or debt service coverage.

A lender may believe in your business plan without wanting to fund all of it on day one. Good news money splits the difference: you close on the loan the property supports today, and the rest is released when the 'good news' (higher occupancy or income) actually shows up.

How It Works

  • The loan is sized on stabilized value, but part of it is withheld at closing.
  • The release test is written into the loan: a DSCR, debt yield or occupancy threshold.
  • The borrower has a deadline to hit it, often 12 to 24 months.
  • If the target is missed, the holdback may be cancelled or applied to pay down the loan.

Good News Money vs. Other Holdbacks

A repair or holdback for capital work is released when the work is done. Good news money is released when performance improves. Both reduce what you receive at closing, so your equity plan must work without it. It's closely related to an earn-out on the sale side.

Negotiating Points

Push for a clear, measurable test, a realistic deadline, the right to request partial releases, and no fee for funding the holdback. Ask how the lender calculates trailing income for the test.

A Hypothetical Daytona Beach Example

A sponsor buys a 70%-occupied office building in Daytona Beach. In this example, the lender closes a $6 million loan but holds back $900,000 as good news money, released when trailing NOI supports a 1.30x DSCR. After two new leases, the test is met in month 14 and the funds are released. Hypothetical scenario.
