Gross Sale Price

Michael R. Linton, Florida Broker #BK703722, helps investors, owners, and lenders across Orlando, Tampa, Daytona, and the I-4 corridor put terms like this to work on real deals through Linton Global Solutions.

Gross sale price is the total price a buyer pays for a property under the contract, before subtracting commissions, closing costs, credits, loan payoffs or taxes.

Sellers hear the gross price; they live on the net. Between the two sit brokerage commissions, title and transfer costs, prorations, repair credits and the loan payoff. On a commercial sale, those can add up to several percent of the price.

From Gross to Net

  • Brokerage commissions.
  • Florida documentary stamp tax on the deed, typically paid by the seller.
  • Title insurance, attorney and closing fees.
  • Prorations of rent, taxes and security deposits.
  • Credits negotiated after inspections.
  • Loan payoff, including any prepayment penalty or yield maintenance.

Why the Gross Price Can Mislead

Comps report gross prices, but a sale with a large seller credit or concessions effectively closed lower. When valuing, adjust for credits, seller financing and personal property included in the price.

A Hypothetical Clearwater Example

An owner sells a medical office building in Clearwater for a gross price of $3.2 million. In this example, after commission, doc stamps, title and closing costs, a $60,000 repair credit and a loan payoff with a prepayment penalty, net proceeds are far lower than the headline. Hypothetical scenario.

From the Desk

Before you accept an offer, run the net sheet. The gross price doesn't pay your loan off.
