Inspection Contingency

Michael R. Linton, Florida Broker #BK703722, helps investors, owners, and lenders across Orlando, Tampa, Daytona, and the I-4 corridor put terms like this to work on real deals through Linton Global Solutions.

An inspection contingency is a contract provision giving the buyer a set period to inspect the property and, depending on the contract terms, cancel or renegotiate if the results are unacceptable.

The inspection contingency is the buyer's window to find out what they are actually buying. In commercial deals it is usually broader and called the due diligence period.

How It Works

The contract sets the length of the period and what the buyer may do: inspect, test, review documents, and, under many contracts, terminate and recover the earnest money by giving written notice before the deadline. Miss the deadline and the deposit is usually at risk.

Commercial vs. Residential

Residential contracts often use standardized forms with fixed periods. Commercial contracts are negotiated: a due diligence period may cover leases, estoppels, environmental reports, surveys, zoning and title, not just the physical condition.

A Hypothetical Sarasota Example

A buyer under contract for a small office building orders a roof and HVAC inspection and a Phase I environmental report during the inspection period. In this example, the roof report shows near-term replacement, and the buyer negotiates a credit before the period ends. Hypothetical scenario.
