Negative Covenant

Michael R. Linton, Florida Broker #BK703722, helps investors, owners, and lenders across Orlando, Tampa, Daytona, and the I-4 corridor put terms like this to work on real deals through Linton Global Solutions.

A negative covenant is a promise in a contract, loan, lease, or deed not to do something, such as not to take on more debt, not to sell without consent, or not to use the property for certain purposes.

It is the opposite of an affirmative covenant, which requires an action.

In Loans

Commercial loan documents commonly bar additional liens, transfers, changes in ownership, or major alterations without lender consent. Breaching one can be a default even if payments are current.

In Leases and Deeds

Leases may restrict competing uses, and deed restrictions may prohibit certain uses of the land. See affirmative covenant.

A Hypothetical Example

An owner wants to add a second mortgage but finds the first loan's negative covenant prohibits additional liens without lender consent. Hypothetical scenario.

From the Desk

Read the 'shall not' clauses. They're where loans get tripped while payments are current.
