UCC Foreclosure

Michael R. Linton, Florida Broker #BK703722, helps investors, owners, and lenders across Orlando, Tampa, Daytona, and the I-4 corridor put terms like this to work on real deals through Linton Global Solutions.

A UCC foreclosure is the enforcement of a lender's security interest in personal property, most often the pledged ownership interests in a property-owning entity, under Article 9 of the Uniform Commercial Code.

Mezzanine lenders use it to take control of the borrower's entity rather than the real estate itself.

How It Works

After a default, the secured party can dispose of the collateral, often through a public or private sale, if the sale is commercially reasonable and proper notice is given. In Florida, Article 9 is codified in Chapter 679, Florida Statutes.

Why It's Fast

Because the collateral is personal property (equity interests), a UCC sale can move much faster than a judicial mortgage foreclosure. See Uniform Commercial Code.

A Hypothetical Example

A mezzanine lender holding a pledge of the membership interests in the LLC that owns a Tampa office building declares a default. After proper notice, it conducts a commercially reasonable UCC sale of those interests and takes control of the owner entity within about two months. Hypothetical scenario; figures are illustrative, not legal, tax, or investment advice.

From the Desk

Mezzanine debt can change who owns the building in weeks. Know your intercreditor terms.
