Debtor

Michael R. Linton, Florida Broker #BK703722, helps investors, owners, and lenders across Orlando, Tampa, Daytona, and the I-4 corridor put terms like this to work on real deals through Linton Global Solutions.

A debtor is the person or entity that owes a debt. In commercial real estate it is usually the borrowing entity on a mortgage loan; in a Chapter 11 bankruptcy, the owner that keeps running the business is called the debtor in possession.

Debtor is the plain word for whoever owes the money. In commercial deals that’s almost never a person, it’s a single-purpose LLC that owns one building and signed one loan. The word starts to matter a lot when things go wrong, because a debtor that files bankruptcy can freeze a foreclosure in its tracks.

Debtor, Borrower, and Guarantor

The borrower entity is the debtor on the note and mortgage. A guarantor, often the sponsor personally, promises to cover certain losses if the debtor can't. Most commercial loans are non-recourse to the guarantor except for “bad boy” carve-outs like fraud or a voluntary bankruptcy filing.

When the Debtor Files Bankruptcy

Filing triggers the automatic stay, which stops foreclosure and collection. In Chapter 11 the debtor usually stays in control as the debtor in possession and proposes a plan of reorganization. For a buyer circling a foreclosure, that can add months and change who ultimately sells the asset.

A Hypothetical Example

An Orlando hotel owned by a single-purpose LLC misses payments after a renovation runs over budget. The lender schedules a foreclosure sale, and the day before, the LLC files Chapter 11. The sale is stayed. Six months later the court approves a plan that sells the hotel through a court-supervised process, and the buyer who stayed in touch with the debtor's advisors gets the first look. Hypothetical scenario.
